Subject: Supplement to Current Report No. 9/2025 dated 13 October 2025 – Closure of the subscription for covered bonds with a total nominal value of PLN 1,155,231,000 under the Covered Bond Issuance Programme of PKO Bank Hipoteczny S.A.

Legal basis: Article 56(1)(2) of the Act on Public Offerings and the Conditions for Introducing Financial Instruments to an Organised Trading System and on Public Companies – current and periodic information; §17(1) of the Regulation of the Minister of Finance of 6 June 2025 on current and periodic information disclosed by issuers of securities and the conditions for recognising as equivalent information required by the laws of a non-Member State.

 

Content of the report: Further to Current Report No. 9/2025 of 13 October 2025, with regard to points 12 and 13, the Management Board of PKO Bank Hipoteczny S.A., with its registered office in Warsaw, hereby provides information on:

  • the total costs included in the issue costs, broken down as follows:
  1. preparation and execution of the offer: PLN 2,054,032.68;
  2. remuneration of underwriters: not applicable;
  3. preparation of the prospectus, including consultancy costs: this cost relates to all offers of covered bonds;
  4. promotion of the offering: PLN 0.00.

The total expenditure listed above amounted to PLN 2,054,032.68 gross (i.e. including VAT).

Methods of accounting for costs in the accounts and the manner of their recognition in the issuer’s financial statements: costs included in the issue costs of a given series of covered bonds form part of the measurement of the financial instrument at amortised cost and are subsequently recognised over the term to maturity of the issue as interest expense using the effective interest rate method.

  • the average cost of the subscription per security covered by the subscription: PLN 1.78

The costs have been rounded to two decimal places.
